Nocom establishes in Denmark through acquisition of Tempest A/S

Nocom AB (publ) has acquired the Danish company Tempest A/S, based in Copenhagen. The company has 19 employees and is one of Denmark's leading value-added software distributors, primarily in IT security. Tempest has annual sales of about SEK 45 million and has had stable and good profitability for several years. The acquisition is a part of Nocom's goal to become a leading value-added distributor in Scandinavia. "The acquisition of Tempest gives us a strong position on the Danish market. We become an all-embracing Scandinavian distributor, which makes us more attractive for the world's leading software suppliers. The acquisition is also good news for our customers and resellers who have operations in all Scandinavian countries," says Stefan Skarin, CEO, Nocom. "Tempest's operations are very similar to Nocom's and the companies complement one another well. Because of this, I expect rapid integration of Tempest. Both companies are profitable and I see good opportunities for synergic effects, which can provide an additional positive effect on profitability of an estimated SEK 2-4 million during the first twelve months." The purchase sum is being paid in cash upon acquisition. A minor supplementary purchase sum subject to restrictions may be payable, which in such case would be paid during the autumn of 2004.
